Authority<\/strong><\/p>\n\n\n\n<p>The Academic Resources Committee is established by the Board of Governor under section 10 (e) of the Act (1965) and made an Administrative Committee pursuant to section 5 of the By-Laws of the Board of Governors.<\/p>\n\n\n\n<p><strong>2. Purpose<\/strong><\/p>\n\n\n\n<p>The Academic Resources Committee shall oversee and report to the Board on all academic resource, research and innovation matters and such other academic matters as are within the authority of the Board, including student enrolment, engagement and experience.<\/p>\n\n\n\n<p><strong>3. Duties and Responsibilities<\/strong><\/p>\n\n\n\n<p>Without limiting the generality of the foregoing, the Committee shall:<\/p>\n\n\n\n<ol style=\"list-style-type:lower-alpha\" class=\"wp-block-list\">\n<li>Monitor, and report to the Board, the University\u2019s progress toward the achievement of its academic and research plans and consider from time to time as appropriate, the implications of the changing external and internal environments for strategic academic objectives as set out in the Strategic Mandate Agreement, University Academic Plan, the Strategic Research Plan and other relevant planning documents and frameworks.<\/li>\n\n\n\n<li>Review, at least annually, the major academic assumptions that underlie the budgetary planning framework and satisfy itself that these assumptions are consistent with strategic planning objective.<\/li>\n\n\n\n<li>Receive reports on the University\u2019s enterprise risk framework and provide oversight of risks as it relates to the mandate of the Committee.<\/li>\n\n\n\n<li>Recommend to the Board (with the concurrence of Senate) the establishment or discontinuance of Faculties, Schools, and Institutes and endowed chairs, professorships and fellowships.<\/li>\n\n\n\n<li>Monitor faculty complements in the context of academic plans, including equity dimensions.<\/li>\n\n\n\n<li>Review, and recommend approval by the Board, the President\u2019s report on appointment, promotion, tenure or removal of faculty member.<\/li>\n\n\n\n<li>Review and recommend from time-to-time amendments to policies related to the Committee\u2019s mandate.<\/li>\n\n\n\n<li>Undertake such other duties as may be requested by the Board from time to time.<\/li>\n<\/ol>\n\n\n\n<p><strong>4. Composition<\/strong><\/p>\n\n\n\n<p><strong>4.1 Committee Chair<\/strong><\/p>\n\n\n\n<ol style=\"list-style-type:lower-alpha\" class=\"wp-block-list\">\n<li>The Board of Governors shall appoint a Chair of the Committee from among its external members.<\/li>\n\n\n\n<li>The Chair of the Committee shall chair meetings of the Committee and has all of the authority, rights and responsibilities normally incumbent on a Committee Chair under generally accepted rules of order in Canada. <\/li>\n\n\n\n<li>In absence of the Chair of the Committee, the Committee may appoint an acting Chair, normally from external members, who shall have all the authority, rights and responsibilities of the Committee Chair for a given meeting.<\/li>\n<\/ol>\n\n\n\n<p><strong>4.2 Committee Compliment<\/strong><\/p>\n\n\n\n<p>4.2.1 Committee Members <\/p>\n\n\n\n<p>The Committee shall have no fewer than eight (8) members including:<\/p>\n\n\n\n<ol style=\"list-style-type:lower-alpha\" class=\"wp-block-list\">\n<li>At least four (4) members appointed by the Board from among the external members of the Board, one to be appointed by the Board as Chair of the Committee.<\/li>\n\n\n\n<li>The President of the University, ex-officio voting member.<\/li>\n\n\n\n<li>The Chair of the Board of Governors, ex-officio voting member.<\/li>\n\n\n\n<li>No more than (3) internal members from among student, Senate, and non-academic members.<\/li>\n<\/ol>\n\n\n\n<p>4.2.2 Appointment of Members and Skills Matrix<\/p>\n\n\n\n<p>The Committee shall undertake yearly a review of its skills matrix and, concordantly, recommend to the Board the appointment or renewal of external Committee members, including the Committee Chair. Committee members should possess skills and backgrounds that align with the Committee\u2019s mandate.<\/p>\n\n\n\n<p><strong>4.3 Vacancies<\/strong><\/p>\n\n\n\n<p>If, due to a vacancy or vacancies, the Committee complement falls to less than eight (8) voting members, the Chair, in consultation with the Chair of the Board, may appoint interim external members to bring the Committee\u2019s complement to eight (8) voting members. Such interim external members sit will full rights and privileges until the next regular meeting of the Board of Governors, at which they are either confirmed as a regular member or replaced through the appointment by the Board of another external member of the Board.<\/p>\n\n\n\n<p><strong>4.4 Executive Support<\/strong><\/p>\n\n\n\n<p>The President, the Provost and Vice-President Academic, and Vice-President Research and Innovation shall report and provide support to the Committee in submitting, in coordination with the Secretary, reports, advice and recommendations in keeping with the Committee\u2019s mandate.<\/p>\n\n\n\n<p><strong>4.5 Standing Invitations<\/strong><\/p>\n\n\n\n<p>The Provost and Vice-President Academic, and Vice-President Research and Innovation have a standing invitation to attend meetings of the Committee.<\/p>\n\n\n\n<p><strong>4.6 Secretary<\/strong><\/p>\n\n\n\n<p>The Secretary of the Board or their designate shall be the Secretary of the Committee.<\/p>\n\n\n\n<p>The Secretary will prepare, in consultation with university executives and in coordination with the Chair of the Committee, the agenda and all documentation in support of items of business on the Committee\u2019s agenda and will keep records of the Committee\u2019s business. Minutes of meeting prepared by the Secretary are normally approved under the consent &nbsp;agenda at the next regular meeting.<\/p>\n\n\n\n<p><strong><strong>5. Term of Office<\/strong><\/strong><\/p>\n\n\n\n<p><strong>5.1 Duration of Term and Renewal<\/strong><\/p>\n\n\n\n<p>The term of office of the Chair of the Committee and external members of the Committee shall be for two years from the effective date of their appointment as established by the Board and shall be renewable for successive two-year terms until the expiration of their term as external members of the Board.<\/p>\n\n\n\n<p><strong>5.2 Cessation of Term<\/strong><\/p>\n\n\n\n<p>A member of the Committee ceases to be a member upon the expiration of their term on the Board.<\/p>\n\n\n\n<p>The Committee Chair or the Committee may request that a member step down from the Committee where a persistent conflict of interest, that cannot be resolved by occasional recusation, renders their term on the Committee untenable.&nbsp; Where a member has not stepped down from the Committee upon a request from the Chair or the Committee that they do so, the Chair of the Committee or the Committee may request of the Board of Governors that the member be removed from the Committee.<\/p>\n\n\n\n<p><strong><strong>6. Meetings<\/strong><\/strong><\/p>\n\n\n\n<p><strong>6.1 Quorum<\/strong><\/p>\n\n\n\n<p>The quorum of Committee meetings is three (3) members, including at least two (2) external members, that may include the Committee Chair.<\/p>\n\n\n\n<p><strong>6.2 Agenda<\/strong><\/p>\n\n\n\n<p>The Agenda of the Academic Resources Committee normally includes the following items:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Remarks from the Chair<\/li>\n\n\n\n<li>Remarks from the President of the University<\/li>\n\n\n\n<li>Provost\u2019s Items<\/li>\n\n\n\n<li>VPRI Items<\/li>\n\n\n\n<li>Other Business<\/li>\n\n\n\n<li><em>In Camera<\/em> session<\/li>\n<\/ol>\n\n\n\n<p><strong>6.3 Frequency<\/strong><\/p>\n\n\n\n<p>The Committee normally meets once before each meeting of the Board of Governors.<\/p>\n\n\n\n<p><strong>6.4 Confidentiality<\/strong><\/p>\n\n\n\n<p>Meetings of the Committee, documents provided in support of those meetings and records of meetings are confidential and kept by the Secretary.<\/p>\n\n\n\n<p>A written report of items discussed by the Committee and decisions taken is presented by the Chair of the Committee at the next open session of the Board of Governors.<\/p>\n\n\n\n<p><strong>6.5 <em>In Camera<\/em> Sessions<\/strong><\/p>\n\n\n\n<p>At each regular meeting, the Committee will hold an <em>in camera<\/em> discussion. The<em> in camera <\/em>session is limited to Committee members, with university officials attending at the Chair\u2019s invitation.&nbsp; No decisions are taken in <em>in camera<\/em> sessions. Any question of import raised in an <em>in camera<\/em> session that requires action, will be communicated to the Committee Secretary by the Chair.<\/p>\n\n\n\n<p><strong>6.6 Special Meetings<\/strong><\/p>\n\n\n\n<p>The Chair of the Committee may call a special meeting to discuss a timely matter that cannot wait until the next regular meeting of the Committee.<\/p>\n\n\n\n<p><strong><strong>7. Annual Workplan<\/strong><\/strong><\/p>\n\n\n\n<p>Each year, normally in May, the Committee will approve a workplan outlining recuring and predictable items for consideration for the coming governance year.&nbsp; The Committee\u2019s workplan will be reviewed for coherence with other committee workplans by the Governance, People and Culture Committee and approved by the Board of Governors, normally in June, with effect the following July 1.<\/p>\n\n\n\n<p><strong>8<\/strong>. <strong>Review of Committee Terms of Reference<\/strong><\/p>\n\n\n\n<p>From time to time and not beyond five years since the last review, the Committee will review its Terms of Reference and recommend to the Board for approval any modifications thereto.&nbsp;<\/p>\n\n\n\n<p
